Doctrine anchors for review
- Copyright Act 2023 (replacing the 2000 Act): course-of-employment works vest in the employer by default, commissioned works need express assignment; assignments must be in writing, and check the Act's term/reversion mechanics for assignments; moral rights (paternity/integrity) are not fully waivable — draft "to the fullest extent permitted" consents, not waivers. Registration is not required for subsistence but materially helps enforcement — recommend it for crown-jewel works.
- Patent Act 2022: 20-year term; employee-invention ownership should be contractually explicit (name inventors, present assignment of future inventions in the field of employment); LDC graduation (Nov 2026) ends the pharma-patent transition comfort — any pharma-adjacent clause gets a graduation flag.
- Industrial Designs Act 2023: registration-based; check novelty-destroying disclosure timing in NDAs/launches.
- Trademarks Act 2009: licences should be recorded (registered-user provisions) for enforcement value; quality-control language preserves the mark; unregistered marks → passing-off only, weaker — recommend registration.
- Cross-cutting: present-tense assignment language ("hereby assigns") over agreement-to-assign; consideration recited; stamp duty on assignments (Stamp Act 1899); royalty outflows to foreign licensors → FERA/BB remittance route + TDS — coordinate with bd-tax-legal:withholding-check; no trade-secret statute → confidentiality clause carries all the weight (see NDA playbook).
