Entity compliance

Skill Zerif007/Claude_Legal-Bangladesh_Edition/bd-corporate-legal/skills/entity-compliance

Builds and checks the Companies Act 1994 / RJSC / BSEC compliance calendar for each entity — AGMs, annual returns, board meetings, register maintenance, listed-company governance. Use for "are we compliant", "what filings are due", "entity health check", "annual return", "AGM deadline", or building a compliance calendar. From its SKILL.md

2 things to look at

  • 26 days oldThe repository was created 26 days ago. New is not bad, but a brand new repository carrying a familiar-sounding name is the shape a typosquat arrives in, and there has been no time for anyone else to find a problem with it.
  • 0 stars0 stars. Stars are a popularity signal and not a quality one, but at this level it is likely that nobody has read this closely except its author, and you would be relying on your own review.

Entity Compliance — Companies Act 1994

Config gate: entity register in ~/.claude/plugins/config/claude-for-legal-bd/bd-corporate-legal/CLAUDE.md. Root guardrails + references/statute-index.md + references/regulators.md apply.

Core obligations checked (private & public companies)

ObligationRule (Companies Act 1994)Rhythm
First AGMwithin 18 months of incorporation (s.81)once
Subsequent AGMsevery calendar year, ≤15 months between AGMs (s.81)annual
Annual return (Schedule X)within 21 days of AGM (s.36)annual
Filing of accountswith annual return per ss.183–191 (audited; Bangladesh adopts IFRS via FRC/ICAB standards)annual
Board meetingsat least one per quarter for public companies (s.96 practice; check articles)quarterly
Statutory registersmembers (s.34), directors (s.115), charges (s.159 — register charge with RJSC within 21 days of creation)continuous
Director changesForm XII to RJSC within 14 daysevent
Registered office changenotice to RJSC (s.77)event
Share allotment returns.151 filingevent
Auditor appointmenteach AGM (s.210)annual
Commencement/OPC rules2020 amendment — OPC-specific filings if applicablecheck

Late-filing reality: RJSC late fees compound per document per year; a dormant entity quietly accrues them. Always compute the arrears exposure when an entity has missed years, and note RJSC's online filing system status [verify current process].

Listed-company overlay (BSEC)

If Listed? = yes in the register: BSEC Corporate Governance Code 2018 (independent directors ≥ 1/5 of board, audit + NRC committees, CGC compliance certificate annexed to annual report), Securities and Exchange Ordinance 1969 continuing disclosures, price-sensitive information rules (disclosure within set timelines), DSE/CSE listing regulations. Flag rather than compute: BSEC notification amendments post-2024 — /bd-law-watch:update-check --topic corporate.

Foreign-owned entities overlay

Branch/liaison offices: BIDA permission renewals; FERA share-transfer approvals for non-resident transfers (BB via AD bank); repatriation compliance. Flag to specialist.

Output

Per entity: a dated compliance calendar (next 12 months), an arrears/exception list with section citations and quantified late-fee exposure [verify current fee schedule], and an actions table (filing, owner, due date, form number). Attorney-review draft header. Escalate: missed AGMs > 1 year (compounding/condonation route), unregistered charges (s.159 consequences), any BSEC enforcement correspondence.
