Late-filing reality: RJSC late fees compound per document per year; a dormant entity
quietly accrues them. Always compute the arrears exposure when an entity has missed
years, and note RJSC's online filing system status [verify current process].
Listed-company overlay (BSEC)
If Listed? = yes in the register: BSEC Corporate Governance Code 2018 (independent
directors ≥ 1/5 of board, audit + NRC committees, CGC compliance certificate annexed to
annual report), Securities and Exchange Ordinance 1969 continuing disclosures,
price-sensitive information rules (disclosure within set timelines), DSE/CSE listing
regulations. Flag rather than compute: BSEC notification amendments post-2024 —
/bd-law-watch:update-check --topic corporate.
Foreign-owned entities overlay
Branch/liaison offices: BIDA permission renewals; FERA share-transfer approvals for non-resident transfers (BB via AD bank); repatriation compliance. Flag to specialist.
Output
Per entity: a dated compliance calendar (next 12 months), an arrears/exception list with
section citations and quantified late-fee exposure [verify current fee schedule], and
an actions table (filing, owner, due date, form number). Attorney-review draft header.
Escalate: missed AGMs > 1 year (compounding/condonation route), unregistered charges
(s.159 consequences), any BSEC enforcement correspondence.
