2 things to look at
- 23 days oldThe repository was created 23 days ago. New is not bad, but a brand new repository carrying a familiar-sounding name is the shape a typosquat arrives in, and there has been no time for anyone else to find a problem with it.
- 0 stars0 stars. Stars are a popularity signal and not a quality one, but at this level it is likely that nobody has read this closely except its author, and you would be relying on your own review.
What its author says it does
Copied from the file, not written here
Fast GREEN/YELLOW/RED triage of inbound NDAs under Bangladesh law so lawyer time goes only where needed. Use whenever an NDA, confidentiality agreement, or "mutual non-disclosure" lands — including when a business user just asks "can we sign this".

NDA Triage — Bangladesh
Config gate: requires attorney-approved ### NDA triage positions in
~/.claude/plugins/config/claude-for-legal-bd/bd-commercial-legal/CLAUDE.md. GREEN can
never issue against defaults or unapproved positions — if positions are absent or marked
[unapproved], the ceiling is YELLOW and the output must say why.
Also read templates/nda-playbook-bd.md (legal frame) and root guardrails.
Scope check first
If the "NDA" contains more than confidentiality — licences, exclusivity, standstill, non-solicit/non-compete, IP assignment, ROFR, broad arbitration of non-confidentiality disputes — it is not an NDA. Auto-YELLOW minimum, name the smuggled provisions. A non-compete of any kind: RED (Contract Act 1872 s.27 — void, and its presence signals a counterparty drafting against Bangladesh law).
Bangladesh screen (mandatory, before playbook)
- s.27 restraint riders → RED as above.
- Residuals clause → RED by default (no trade-secret statute backstop; the NDA is the entire protection).
- Liquidated damages → penalty screen (s.74); one-way penalty-style → YELLOW/RED.
- Governing law/forum: exclusive foreign courts without arbitration → YELLOW (enforcement gap, CPC s.13/44A); arbitration acceptable per playbook.
- Stamping note in every output: stamp before/at execution (Stamp Act 1899 s.35).
- Personal data expected to flow? → note PDPA 2026 and suggest data-protection-check.
Triage
Apply the playbook table (mutuality, term, survival, carveouts, injunction, LDs, forum).
- GREEN — meets every approved position; ready for signature; list the stamping step.
- YELLOW — name the 1–3 clauses needing lawyer eyes, quote them, propose fallback language from the playbook.
- RED — stop; state the dealbreaker(s) with section-level citation; propose the house-paper alternative.
Output (short — this is a triage, not a memo)
NDA Triage: [GREEN/YELLOW/RED] — [counterparty] (ATTORNEY-REVIEW DRAFT)
Side: [disclosing/receiving/mutual-ours/mutual-theirs] · Playbook: [approved by X on date]
Flags: [numbered, cited]
Next step: [signature+stamping / route to [name] per escalation chain / reject & send house form]
