The document a decision is made from: a clear recommendation, the case for and against, and the numbers behind it.
Structure
- Recommendation + thesis (up top): what you propose and the 2-3 reasons - the decision-maker's TL;DR.
- Opportunity: business, market, why now, the edge.
- Financials & unit economics: the key sourced figures and trends.
- Valuation & returns: entry, the value range (
dcf-valuation/comps-valuation), expected return/IRR/MOIC with the assumptions; base/bull/bear. - Risks & mitigants: the real downside, quantified, and what could kill the thesis.
- Terms / structure (if a deal): price, structure, conditions.
- Disclaimer + disclosures.
Output
- The memo (recommendation, thesis, financials, valuation/returns, scenarios, risks) - figures sourced, returns labeled as estimates with assumptions, disclaimer + conflict disclosure included.
Guardrails
- A recommendation requires a disclaimer + disclosure (
no-investment-advice); no guaranteed returns. - Present the bear case honestly (
analysis-objectivity); returns are estimates (projection-guard).
