The document a decision is made from: a clear recommendation, the case for and against, and the numbers behind it.

Structure

  1. Recommendation + thesis (up top): what you propose and the 2-3 reasons - the decision-maker's TL;DR.
  2. Opportunity: business, market, why now, the edge.
  3. Financials & unit economics: the key sourced figures and trends.
  4. Valuation & returns: entry, the value range (dcf-valuation/comps-valuation), expected return/IRR/MOIC with the assumptions; base/bull/bear.
  5. Risks & mitigants: the real downside, quantified, and what could kill the thesis.
  6. Terms / structure (if a deal): price, structure, conditions.
  7. Disclaimer + disclosures.

Output

  • The memo (recommendation, thesis, financials, valuation/returns, scenarios, risks) - figures sourced, returns labeled as estimates with assumptions, disclaimer + conflict disclosure included.

Guardrails

  • A recommendation requires a disclaimer + disclosure (no-investment-advice); no guaranteed returns.
  • Present the bear case honestly (analysis-objectivity); returns are estimates (projection-guard).
