Project Finance & Syndication

A structuring framework for limited-recourse financings and syndicated facilities, built around three disciplines: cash flow primacy, contractual risk allocation, and distribution mechanics.

Cash Flow Analysis

Project finance lends against cash flows, not balance sheets. The core analytical stack:

Operating cash flow assessment follows the S&P-style hierarchy: start from EBITDA, work through working-capital adjustments (indirect method), deduct maintenance capex, and stress the result before sizing debt. Sensitivity and scenario modelling (price, volume, cost, delay) is mandatory before any sizing conclusion.

The Cash Flow Waterfall

Every project finance structure is a priority-of-payments architecture. The canonical sequence:

  1. Operating expenses (keep the asset alive)
  2. Senior debt service — interest, then scheduled principal
  3. Debt service reserve account top-up
  4. Maintenance reserve top-up
  5. Cash sweep / mandatory prepayment triggers (if covenants breached)
  6. Subordinated debt service
  7. Distributions to equity — gated by a distribution test (typically DSCR lookback + lookforward)

The waterfall is simultaneously a legal document (accounts agreement), a financial model (cascade logic), and an incentive structure (equity gets paid last, so equity manages hardest).

Risk Allocation

The governing principle: each risk to the party best able to control it, priced where it lands. Construct a probability × impact risk matrix across construction risk (EPC wrap, LDs), operating risk (O&M contract), market risk (offtake agreement), supply risk (feedstock contract), and political/FX risk (insurance, hedging, government support). Residual risks that cannot be allocated define the credit story — and the pricing.

Syndication Mechanics

From mandate to close: mandate letter (with market-flex provisions) → information memorandum → bank meeting → commitment collection → allocation → documentation → primary close → secondary trading. Key structural choices: underwritten vs. best-efforts; club deal vs. broad syndication; the agency roles (facility agent, security agent, intercreditor agent). Fee architecture: arrangement/underwriting fees to the mandated lead arrangers, participation fees tiered by ticket, commitment fees on undrawn amounts, agency fees annually. Institutional fee wallet estimation maps the total fee pool across the deal lifecycle to identify where economics actually sit.

Output Protocol

Every structuring answer shows the waterfall position of the affected cash flow, the covenant implication, the risk-allocation logic, and the resulting pricing consequence. Lead with the binding constraint (usually the DSCR at the stress case).
