- Apply median multiple to target's LTM and NTM metrics
- Note liquidity discount for private companies (15-25% typical)
LBO Analysis
- Model 5-year hold with exit at entry multiple
- Test leverage ratios: 4x, 5x, 6x EBITDA
- Target IRR hurdle: 20-25% for PE sponsors
- Test downside: -20% EBITDA, +100bps interest rate
Due Diligence Red Flags
Always check and flag:
- Revenue recognition: channel stuffing, pull-forward sales, round-tripping
- Customer concentration: top 3 customers >40% of revenue
- Working capital: normalized vs reported (strip out one-time items)
- Contingent liabilities: litigation, environmental, tax
- Management changes: >2 CFOs in 3 years is a red flag
- Audit qualifications: going concern, material weaknesses
